1. Definitions

In these Terms of Service ("Terms"), the following definitions apply:

"Persian Arena," "we," "us," or "our" refers to the operator of the Persian Arena platform.
"Service" refers to the Persian Arena mobile application, website, and all related services.
"User," "you," or "your" refers to any individual or entity that accesses or uses the Service.
"Service Provider" or "Vendor" refers to any User who creates listings, offers, or advertises services on the platform.
"Customer" refers to any User who browses, searches for, or engages with services listed on the platform.
"Content" refers to text, images, reviews, ratings, listings, and any other material posted on the Service.
"Listing" refers to any service, product, or offering published on the platform by a Service Provider.

2. Acceptance of Terms

By accessing, downloading, installing, or using Persian Arena, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately stop using the Service.

Your continued use of the Service after any modifications to these Terms constitutes your acceptance of such modifications. We will make reasonable efforts to notify you of material changes.

3. Eligibility

You must be at least 13 years of age to use the Service. If you are under 18 years of age (or the age of legal majority in your jurisdiction), you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

By using the Service, you represent and warrant that you meet the eligibility requirements and have the legal capacity to enter into a binding agreement.

4. Description of Service

Persian Arena is a marketplace platform that connects Service Providers with Customers. The Service allows Users to:

Browse and search for services and businesses
Create, publish, and manage service listings
View contact information of Service Providers
Leave reviews and ratings for services
Save favorite services
Communicate with Service Providers through listed contact channels

5. Platform Role — Intermediary Only

PERSIAN ARENA IS SOLELY A PLATFORM AND INTERMEDIARY. We provide the technology and infrastructure that enables Users to connect with one another. You expressly acknowledge and agree that:

Persian Arena is not a party to any transaction, agreement, or arrangement between Service Providers and Customers.
Persian Arena does not provide, endorse, guarantee, or assume responsibility for any services, products, or offerings listed on the platform.
Persian Arena does not verify, validate, or confirm the accuracy, completeness, legality, quality, safety, or suitability of any Listing, service, product, Service Provider, or Customer.
Persian Arena does not act as an employer, agent, broker, insurer, or representative of any Service Provider or Customer.
Any engagement between a Service Provider and a Customer is solely at the Users' own risk and discretion.
Persian Arena has no control over and assumes no responsibility for the conduct, actions, omissions, representations, warranties, or negligence of any User, Service Provider, or third party.

When you engage with a Service Provider listed on Persian Arena, you are entering into an independent arrangement directly with that Service Provider. Persian Arena is not involved in, responsible for, or liable for any aspect of that arrangement.

6. User Accounts

6.1 Registration

To use certain features of the Service, you must create an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Not create more than one account per person
Not create accounts on behalf of others without their express permission
Not transfer, sell, or assign your account to any third party

6.2 Account Security

You are solely responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized use of your account

Persian Arena will not be liable for any loss or damage arising from your failure to protect your account credentials.

6.3 Account Suspension and Termination

We reserve the right, at our sole discretion, to suspend, restrict, or terminate your account and access to the Service at any time, with or without notice, for any reason, including but not limited to:

Violation of these Terms
Fraudulent, misleading, or illegal activity
Conduct that is harmful to other Users, third parties, or the platform
Extended periods of inactivity
Requests from law enforcement or government agencies

Upon termination, your right to use the Service ceases immediately. We may, but are not obligated to, delete your Content and data in accordance with our Privacy Policy.

7. Service Provider Responsibilities

If you are a Service Provider, you acknowledge, agree, and warrant that:

You are solely responsible for the accuracy, completeness, legality, and truthfulness of your Listings and all information provided therein.
You hold all necessary licenses, permits, certifications, insurance, and legal authorizations required to offer and perform the services you list.
You comply with all applicable local, national, and international laws and regulations, including but not limited to consumer protection laws, health and safety regulations, professional licensing requirements, anti-discrimination laws, and tax obligations.
You are solely responsible for the quality, safety, timeliness, and delivery of your services and for any interactions, agreements, disputes, or claims arising from your Listings or services.
You are solely responsible for your own tax obligations, including but not limited to income taxes, sales taxes, VAT, and any other applicable taxes in your jurisdiction. Persian Arena does not withhold, collect, or remit taxes on behalf of Service Providers.
You will not post false, misleading, deceptive, defamatory, or fraudulent content.
You grant Persian Arena permission to display your Listing information, including business name, description, images, location, and contact details, on the platform and in marketing materials.

Persian Arena makes no representations or warranties regarding the accuracy or legitimacy of any Service Provider, their qualifications, their services, or their compliance with applicable laws.

8. Customer Responsibilities and Assumption of Risk

If you are a Customer, you acknowledge and agree that:

You use the Service and engage with Service Providers entirely at your own risk.
You are solely responsible for evaluating, verifying, and making your own decisions about any Service Provider, Listing, service, or product before engaging.
You assume all risks associated with interacting with Service Providers, including but not limited to risks of personal injury, property damage, financial loss, dissatisfaction with services, fraud, or breach of contract by a Service Provider.
You should independently verify the credentials, licenses, insurance, qualifications, and reputation of any Service Provider before engaging their services.
Persian Arena does not screen, vet, background-check, or endorse any Service Provider or the services they offer.

9. User Conduct

All Users agree not to:

Violate any applicable laws, regulations, or third-party rights
Post false, misleading, fraudulent, defamatory, or deceptive content
Harass, threaten, abuse, stalk, or intimidate other Users
Discriminate against other Users based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic
Interfere with, disrupt, or circumvent the proper functioning or security of the Service
Attempt to gain unauthorized access to other accounts, systems, or data
Use the Service for any unlawful purpose, including money laundering, fraud, or terrorist financing
Scrape, crawl, or use automated tools to extract data from the Service without our express written consent
Post spam, unsolicited advertising, or promotional material
Impersonate any person, entity, or falsely represent your affiliation with any person or entity
Upload content containing viruses, malware, or other harmful code
Use the Service to collect, harvest, or store personal information of other Users without their consent
Circumvent or manipulate the review and rating system
Create fake accounts, fake reviews, or engage in any form of platform manipulation

10. Content and Intellectual Property

10.1 User Content

You retain ownership of Content you post on the Service. By posting Content, you grant Persian Arena a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, display, distribute, modify, and create derivative works of that Content in connection with operating, promoting, and improving the Service.

You represent and warrant that you have all necessary rights to post such Content and that the Content does not infringe upon any third party's intellectual property rights, privacy rights, or other legal rights.

10.2 Platform Content

The Service, including its design, logos, trademarks, text, graphics, software, and other materials, is the property of Persian Arena or its licensors and is protected by intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works of any platform content without our express written consent.

10.3 Copyright Infringement (DMCA)

If you believe that Content on the Service infringes your copyright, you may submit a notice to us at legal@persianarena.com containing:

A description of the copyrighted work you claim has been infringed
The URL or location of the allegedly infringing material
Your contact information (name, address, phone number, email)
A statement that you have a good faith belief that the use is not authorized
A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner
Your physical or electronic signature

We will respond to valid notices and may remove or disable access to the allegedly infringing Content.

10.4 Content Moderation

Persian Arena reserves the right, but has no obligation, to monitor, review, edit, or remove any Content at our sole discretion, for any reason, including but not limited to Content that we believe violates these Terms or is otherwise objectionable.

11. Reviews and Ratings

Reviews and ratings reflect the personal opinions of individual Users and do not represent the views of Persian Arena.
Users must provide honest, accurate, and fair reviews based on genuine experiences.
Service Providers may not offer incentives, compensation, or threats in exchange for positive reviews or removal of negative reviews.
Persian Arena reserves the right to remove reviews that violate these Terms, are fraudulent, or are otherwise inappropriate, at our sole discretion.
Persian Arena does not guarantee the accuracy, reliability, or authenticity of any review or rating.

12. Third-Party Services, Links, and Integrations

The Service may contain links to, or integrations with, third-party websites, applications, or services. Persian Arena:

Does not control, endorse, or assume responsibility for any third-party services, content, or practices
Is not liable for any damage or loss caused by your use of or reliance on any third-party services
Encourages you to review the terms and privacy policies of any third-party services you access

Third-party services may include, but are not limited to, maps services, payment processors, social media platforms, communication tools, and analytics services.

13. Payments and Fees

Persian Arena may charge fees for certain features or services, which will be disclosed before you incur them.
All fees are stated in the applicable currency and are non-refundable unless otherwise expressly stated.
Pricing is subject to change. We will provide reasonable notice of fee changes.
Transactions between Service Providers and Customers are independent of Persian Arena. We are not responsible for payments, refunds, chargebacks, or any financial disputes between Users.
Service Providers are solely responsible for their own pricing, payment collection, invoicing, and related financial matters.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. PERSIAN ARENA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT
WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS of any Content, Listings, or information available through the Service
WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, or free of viruses or other harmful components
WARRANTIES REGARDING THE QUALITY, SAFETY, LEGALITY, OR SUITABILITY of any services, products, or offerings listed by Service Providers
WARRANTIES REGARDING THE QUALIFICATIONS, BACKGROUND, IDENTITY, or competence of any Service Provider or User
WARRANTIES REGARDING THE OUTCOME of any transaction or interaction between Users

PERSIAN ARENA DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY LISTING, SERVICE, PRODUCT, OR CONTENT ADVERTISED OR OFFERED BY ANY SERVICE PROVIDER OR THIRD PARTY THROUGH THE SERVICE.

YOUR USE OF THE SERVICE AND YOUR ENGAGEMENT WITH SERVICE PROVIDERS IS ENTIRELY AT YOUR OWN RISK.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

PERSIAN ARENA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, including but not limited to damages for loss of profits, revenue, data, goodwill, business opportunity, or other intangible losses, regardless of whether such damages were foreseeable or whether Persian Arena was advised of the possibility of such damages.
PERSIAN ARENA SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, INJURIES (INCLUDING DEATH), CLAIMS, OR LIABILITIES arising from or related to:
- The conduct, actions, omissions, or negligence of any Service Provider, Customer, or third party
- The quality, safety, legality, accuracy, or suitability of any Listing, service, or product
- Any transaction, agreement, dispute, or interaction between Users
- Any errors, inaccuracies, or omissions in any Content or Listing
- Unauthorized access to or alteration of your data or transmissions
- Any failure or delay in the Service
- Any content or conduct of any third party on the Service
IN NO EVENT SHALL PERSIAN ARENA'S TOTAL AGGREGATE LIABILITY to you for all claims arising out of or relating to these Terms or the Service exceed the greater of: (a) the total amount of fees paid by you to Persian Arena in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) fifty euros (EUR 50.00).

THE LIMITATIONS OF LIABILITY IN THIS SECTION ARE A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN PERSIAN ARENA AND YOU AND SHALL APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED.

16. Indemnification

You agree to indemnify, defend, and hold harmless Persian Arena, its affiliates, subsidiaries, officers, directors, employees, agents, partners, and licensors from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

Your use of or access to the Service
Your violation of these Terms or any applicable law or regulation
Your Content or any information you provide through the Service
Your interaction or engagement with any Service Provider, Customer, or third party
Any services you provide or receive through the platform
Your violation of any third party's rights, including intellectual property, privacy, or contractual rights
Any dispute between you and another User
Your negligence or willful misconduct

This indemnification obligation will survive the termination of these Terms and your use of the Service.

17. Dispute Resolution

17.1 Between Users

Any disputes between Users (including between Service Providers and Customers) are solely between those Users. Persian Arena is not a party to, and has no obligation to mediate or resolve, any such disputes. Users agree to resolve disputes directly with each other.

17.2 Between You and Persian Arena

If you have a dispute with Persian Arena:

Informal Resolution: You agree to first contact us at legal@persianarena.com and attempt to resolve the dispute informally for at least thirty (30) days before initiating any formal proceedings.
Arbitration: If the dispute cannot be resolved informally, it shall be resolved through binding arbitration, except where prohibited by applicable law.
Class Action Waiver: To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

17.3 Exceptions

Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction for matters related to intellectual property rights or unauthorized access to the Service.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Persian Arena is registered, without regard to its conflict of law provisions.

For Users located in the European Economic Area (EEA), these Terms do not affect your rights under mandatory consumer protection laws of your country of residence.

19. Force Majeure

Persian Arena shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, cyberattacks, or labor disputes.

20. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

21. Electronic Communications

By using the Service, you consent to receiving electronic communications from us, including emails, push notifications, and in-app messages. You agree that all agreements, notices, disclosures, and other communications that we provide electronically satisfy any legal requirement that such communications be in writing.

22. General Provisions

22.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Persian Arena regarding your use of the Service and supersede all prior agreements, understandings, and representations.

22.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

22.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Persian Arena.

22.4 Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. Persian Arena may freely assign, transfer, or delegate its rights and obligations under these Terms.

22.5 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Persian Arena. You have no authority to bind Persian Arena in any way.

22.6 Survival

Sections relating to Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, Governing Law, and any other provisions that by their nature should survive termination, shall survive any termination or expiration of these Terms.

23. Changes to Terms

We reserve the right to modify, update, or replace these Terms at any time at our sole discretion. Material changes will be communicated through the Service or by other reasonable means. Your continued use of the Service after any changes constitutes your acceptance of the modified Terms.

If you do not agree to the modified Terms, you must stop using the Service and may request deletion of your account.
